Job Title: CORPORATE SECRETARY

This position has high responsibility including governance structures and mechanisms, corporate conduct within MobiCash’s regulatory environment, board, shareholder and trustee meetings, and compliance with legal and all regulatory requirements. You will be a member of the Senior Management Team with wide-ranging responsibilities, who serves as a focal point for communication with the board of directors, senior management and the company's shareholders, and who occupies a key role in the administration of critical corporate matters. You will be the confidant and counselor to the Executive Director and other members of the senior management team especially on corporate governance affairs.
This position shall also retain the Human Resources function and will include tracking and implementing new human resources trends in the industry, helping the line management to implement improvements for their own departmental HR needs, and generally focus on developing the Human Capital potential in the organization
Overall Duties
• Ensure that the Board has the proper advice and resources for discharging its fiduciary duty under state law.
• ensure that the records of the Board's actions reflect that the Board has done so.
• Making sure new directors have training in the applicable state law duties, to advising the board when there are amendments to the state law or developments in case law
• Partnering with business presenters to ensure the proper steps are followed for major matters (such as having the investment bankers in the meeting to review the diligence, and the fairness opinion, before a major acquisition or disposition).
• Providing advice on corporate governance issues Ensure that the board meetings are properly attended by following the guidelines in the bylaws about notifying the members.
• Advice to the board regarding its relationship to its investors
• Alert the board to coming changes or public impression of a recent action by the board.
• He/she keeps track of the corporate records and makes sure a signed copy of each meeting minutes is kept, after they have been approved by the members. Also, at every meeting she must have an updated copy of the corporation's bylaws available to be referenced.
• Handling the legal documents of the corporation. The secretary is especially concerned that there be sufficient and accurate documentation to meet or exceed the requirements dictated by law.
• Maintaining the records of every meeting and the details of the corporation's polices and practices.
• Authority for sign off various business transactions. He might be able to sign contracts, applications, correspondence, and applications.

HR Responsibilities:
• Dealing with staffing issues such as interviewing potential staff, conducting appraisals and performance reviews, as well as providing or organizing training and development;
• Demonstrate to Senior Management the will to keep the responsibility for the Human Capital costs
• Drive the main HR Processes to keep the organization in the excellent health
• Supporting the Business Strategy to reach the business initiatives
• Be responsible for the tasks resulting from the Business Strategy
Personal qualities, skills and experience:
Typically a candidate for the role will hold a University degree in Laws, Organisational Psychology and is most likely to be expected to be able to demonstrate progress and achievement in their career to date. Most recently, they will have worked in a similar role where they will have worked for a minimum of 5 years.
You will also show the ability to plan, organize and schedule work flow to meet rigid project deadlines, Demonstrated ability to work with and lead a team, be detailed and customer service oriented with a high level of proficiency with MS Office.
Fluency in written and oral English is a pre-requisite, and all responses should be submitted in English.
